Terms and Conditions of Trade
1. Quotation1.1. The Customer may request a Quotation from Solo Wings setting out the price and quantity of the labour and products to be supplied. If the Quotation is acceptable to the Customer, the Customer may place an order by verbal authorisation or email confirmation to Solo Wings.1.2. Prices quoted are for the labour and products requested. Solo Wings may in its absolute discretion vary the price of the products if the foreign exchange rate is different from that contained in the Quotation.1.3 Only the products itemised in the quotation are included in the contract. If there were other items discussed or other specifications that are not specified in the Quotation, they shall be deemed not to be included. 1.4 Solo Wings may withdraw the Quotation at any time. If not withdrawn the Quotation shall remain open for acceptance for a maximum period of thirty days from the date of the quotation and thereafter shall be deemed withdrawn.
2. PricePrices are based on rates and conditions at the time of quotation. Any increase in the cost of labour or products thereafter may be changed at Solo Wings’ discretion.
3. PaymentAll invoices of Solo Wings shall be paid by the Customer with fourteen (14) days of the date of the invoice unless otherwise agreed in writing by Solo Wings. In the event of late payment, Solo Wings may charge interest on the amount outstanding before and after judgement. Alternatively, for invoices unpaid 30 days after the due date, Solo Wings may impose a surcharge equal to 2.5% of the outstanding amount.
If any amount of the invoices is disputed by the Customer, the Customer shall inform Solo Wings of the grounds for such dispute within seven (7) days of delivery of the goods and shall pay to Solo Wings the value of the invoices less the disputed amount in accordance with these payment terms.
Where Solo Wings requires payment of a deposit, the Customer acknowledges that the deposit is not returnable.
If payment in full of the claimed amount is not received by Solo Wings by the due date then without limitation of Solo Wings rights all of Solo Wings debt collection, legal and other costs (without deduction) arising from or related to recovery of any amount owing by the customer (including solicitor / client costs) shall be recoverable from you as a debt. Solo Wings reserves the right to pass these costs and expenses on to you and you hereby agree to pay the said costs and expenses if payment is not made by the due date.
All fees are exclusive of GST which will be added to invoices where appropriate.
Solo Wings reserves the right to increase a quoted fee in the event that the client requests a variation to the work agreed.
4. Goods and Services TaxUnless otherwise indicated all prices quoted or submitted are exclusive of GST and Solo Wings shall add tax at the ruling rate to each invoice. 5. OwnershipOwnership of the products shall remain with Solo Wings until such products have been paid for in full. Until payment in full for such products you acknowledge and agree as follows:
6. PPSAThese terms and conditions shall constitute a security interest within the meaning of the Personal Properties Securities Act 1999 (PPSA) and Solo Wings in the event of default shall be entitled to exercise all of the remedies set out in part 9 of the PPSA.
7. RiskRisk in the products shall pass to you on delivery of the products.
8. DeliveryDelivery shall be made to the place indicated by the Customer and if no place shall be indicated then delivery shall be made at your premises. If you fail or refuse to take or accept delivery then delivery shall be deemed to have taken place when Solo Wings was willing to effect delivery.
9. Governing LawThese terms of trade are governed by the laws of New Zealand.
Solo Wings and the Customer shall submit to the non-exclusive jurisdiction of the courts of New Zealand in respect of any dispute or proceeding arising out of these terms and conditions of trade.
10. Definitions“Customer” means the buyer of the goods and services or person to whom a quotation is addressed.“Solo Wings” means Solo Wings 2010 Limited or any assignee of Solo Wings.“You” means both the customer and those accepting responsibility for that customer’s debt to Solo Wings.

- That the products supplied are held by you as fiduciary baillee for and on behalf of Solo Wings.
- If such products are sold by you prior to payment therefore you and/or if they shall become constituents of other products then the proceeds of sale thereof shall be the property of Solo Wings and shall be kept by you in a separate account which is clearly identified as containing the proceeds of such sale after deducting any mark up which you shall retain as remuneration for acting as agent and such money will be held in trust for Solo Wings.
- You shall store the products in such a way that it is clear that they are the property of Solo Wings.
- You agree that in the event that the products become mixed with or constitute other products, Solo Wings may remove its part of the mixed products.
- Solo Wings may either personally or by its agents enter upon your premises to recover the products with such recovery to be at your expense.
